Need help with venue contract

My venue sent me the contract last week and I was supposed to just sign it and drop it off with the deposit check. However, I found a sentence that concerns me so I'm meeting with them tonight to discuss it. I have 2 questions:1) The sentence states that the venue has the right to cancel the agreement for any reason at any time prior to the event. This makes it sounds like it can be for a total no-fault reason and all of a sudden, I don't have a venue a week before my wedding. Has anyone encountered this statement in their contracts? (It goes on to also state that they don't refund fees if they are canceling for misuse of the facility, which is standard to me.)2) The contract does not state any of the equipment that is supposed to be included in the rental. I need to write up a clause with those supplies (chairs, tables, coffee pots, etc) itemized and state that they facility is responsible for providing equivalent equipment provided something happens to theirs before the day of my event. I'm not having luck finding sample language to use as a model for writing this part. Does anyone have a similar clause in their contract that they could share with me? I'd really appreciate it!

  • The sentence states that the venue has the right to cancel the agreement for any reason at any time prior to the event.I didn't encounter a clause like that in any of my vendor contracts.  That sounds really shady to me and if they aren't willing to take that out, then I wouldn't use them.  Seems too risky.

  • I wouldn't sign with that first sentence.  If they need the right to cancel, it needs to say: Venue has the right to cancel for any reason, and in the event of such cancellation, they will give X days notice and will pay Y.For the second, don't try to make the wording sound official or anything.  A lot of disputes come up in contracts b/c people get too caught up in trying to make it sound official, and they end up not saying what they mean.  Say something like: Venue shall provide the use of 150 gold chivari chairs, 18 90 inch round dining tables, etc.  The use of these items are included in the price of the venue rental.
  • For the second, add a catch-all phrase at the end of the list like "and all other typical catering, dining, and wedding equipment."

  • Thanks again everyone! Our meeting went well last night. The manager said she could fully understand my concern over that line.  Her understanding was that it was supposed to be the usual 'act of God' style reason or other damage to the building that would render it unusable. She went in to her computer and modified the language to make it much clearer. We signed and paid our deposit! Yay!
